The website accessible at the address https://geekworkers.ch (hereinafter "the Site") and all software engineering services, web platform creation, mobile application development, digital marketing and strategic consulting are published and provided by:

These General Terms and Conditions include the General Terms of Use of the Site (Section I) and the General Terms and Conditions of Digital Services (Section II).


SECTION I: GENERAL TERMS AND CONDITIONS OF USE OF THE SITE (GTC)

1. Purpose and Scope

1.1. These Terms and Conditions govern access to and use of the Site by any visitor or user (hereinafter "the User").

1.2. Accessing the Site implies unreserved acceptance of these Terms of Use. If the User does not accept these provisions, they are asked to cease all browsing.

1.3. Geekworkers Sàrl reserves the right to update these terms and conditions at any time to reflect technical, legal, or organizational changes. The applicable version is the one available online at the time of access.

2. Site Access, Security and Availability

2.1. The Site is accessible free of charge via the internet. The computer equipment, connection fees, and software required for browsing remain the sole responsibility of the User.

2.2. Geekworkers Sàrl implements security measures in accordance with professional standards (SSL/TLS encryption, Cloudflare firewall, WP Armour anti-spam honeypot filtering) to ensure stable and secure access.

2.3. Geekworkers Sàrl cannot be held responsible for connection failures attributable to telecommunications operators, scheduled interruptions for hardware or software maintenance, or damage caused by cyberattacks or malware beyond its reasonable control.

3. Intellectual Property of the Site

3.1. The overall architecture of the Site, the graphic charter, the logos, the registered trademarks "Geekworkers", typography, mock-ups, source codes, photographs, videos, texts, case studies and visual elements constitute works protected by the Federal Act on Copyright and Related Rights (LDA, RS 231.1) and applicable international conventions.

3.2. Any reproduction, distribution, extraction, adaptation or commercial use, in whole or in part, of the Site's content without the prior written consent of Geekworkers Sàrl is strictly prohibited and subject to the civil and criminal penalties provided for by Swiss law.

4. Contact and Appointment Booking Forms

4.1. Users who submit a request via quote forms (Elementor Form, WS Form) or who request a call agree to provide accurate, complete and current information.

4.2. Geekworkers Sàrl processes contact data in accordance with its Privacy Policy and offers, upon simple request from the client for sensitive projects, the prior signing of a non-disclosure agreement (NDA).


SECTION II: GENERAL TERMS AND CONDITIONS FOR DIGITAL SERVICES (GTC)

5. Scope of Services Provided

Geekworkers Sàrl operates as a digital engineering and consulting agency, providing services that include:

  • The design, development, redesign and optimization of showcase websites and corporate portals (WordPress, Headless architectures); ;
  • The creation and integration of secure e-commerce platforms (WooCommerce, Shopify) with Swiss payment methods (Twint, PostFinance, bank cards via Stripe); ;
  • Software engineering and development of web applications (Next.js, Laravel) and native or multi-platform mobile applications (Flutter, React Native); ;
  • SaaS software development, REST/GraphQL API architecture and ERP/CRM integrations (Dolibarr, ERPNext); ;
  • Technical auditing, web performance optimization (Core Web Vitals) and security management; ;
  • Performance-based digital marketing: search engine optimization (SEO), management of paid advertising campaigns (Google Ads SEA, Meta Ads, LinkedIn Ads) and strategy for acquiring qualified leads.

6. Contract Formation and Validity of Quotes

6.1. Each service is subject to a commercial proposal or a descriptive quote specifying the functional scope, deliverables, schedule milestones and financial conditions.

6.2. Unless expressly stated otherwise in the offer, quotes issued by Geekworkers Sàrl are valid for a period of thirty (30) calendar days from their date of issue.

6.3. The contract is validly formed upon receipt by Geekworkers Sàrl of the quote bearing the Client's signature (handwritten or certified electronic) or an express written confirmation by email, accompanied by the payment of the agreed initial deposit.

6.4. Any additional work not initially included in the quote (scope creep) will be subject to a prior supplementary quote or will be billed at the hourly rate of the technical management in effect in the commercial catalogue.

7. Pricing, Billing and Payment Terms

7.1. All prices are stated in Swiss Francs (CHF), excluding taxes (HT), subject to Swiss value added tax (VAT) applicable at the legal rate in force (8.1%).

7.2. Unless a specific payment schedule is stipulated in the commercial offer, the standard billing terms are as follows:

  • A deposit of 50% of the total amount including VAT upon signature of the quote to commit to the reservation of technical resources and launch the scoping workshops; ;
  • The balance of 50% upon final delivery of the service or upon the production launch of the deliverable.
  • For large-scale projects, billing by intermediate validation milestones (e.g. 40% upon order, 30% upon validation of mock-ups/prototypes, 30% upon online launch) can be contractually agreed.

7.3. Invoices are payable within ten (10) to thirty (30) days net from their date of issue, as indicated on the invoice, by bank transfer to the account of Geekworkers Sàrl (Swiss QR invoice), by Twint or by credit card via secure Stripe gateway.

7.4. In the event of late payment, default interest of 5% per annum (Art. 104 CO) will be automatically applied from the day following the due date, without prior notice. Geekworkers Sàrl reserves the right to suspend access to development environments, the execution of advertising campaigns, or the delivery of source code until full payment of outstanding amounts is received.

8. Client Collaboration and Obligations

8.1. The success of the project depends on active and transparent collaboration between the parties. The Client agrees to designate a key contact person with decision-making authority.

8.2. The Client undertakes to provide Geekworkers Sàrl with all the elements necessary for the proper execution of the services (final texts, graphic charters, high-definition photographs, access to hosting, domain names, API accounts or advertising consoles) within the deadlines agreed upon in the provisional schedule.

8.3. The Client warrants that it holds all necessary intellectual property rights and authorizations for the content provided. It guarantees and indemnifies Geekworkers Sàrl against any third-party claims or legal action for infringement of intellectual property rights or unfair competition.

9. Obligations of Geekworkers Sàrl

9.1. Geekworkers Sàrl is subject to a general obligation of means within the framework of the contract for services or mandate (Art. 363 et seq., Art. 394 et seq. of the Swiss Code of Obligations). It undertakes to perform its services with all due care and diligence, in accordance with the professional standards of the software industry and digital marketing.

9.2. Geekworkers Sàrl guarantees the strict application of good practices in terms of performance (Core Web Vitals optimization), accessibility, security (encryption of streams, protection against injections) and compliance with legal data protection directives (nLPD / GDPR).

10. Delivery Times and Acceptance Procedure

10.1. The project timelines provided are indicative and depend on the Client's adherence to deadlines for validation and submission of materials. Any delay by the Client will postpone the delivery milestones accordingly.

10.2. Following the development, Geekworkers Sàrl makes the deliverable available to the Client on a qualification (staging) environment or proceeds with the initial deployment for acceptance testing.

10.3. The Client has ten (10) business days from the date of delivery to conduct tests and notify Geekworkers Sàrl in writing of any documented and reproducible issues. Any confirmed anomalies that conform to the initial quote will be corrected by Geekworkers Sàrl at no additional cost.

10.4. In the absence of notification of reservations within this period of ten (10) working days, or in the event of public commercial exploitation of the deliverable by the Client, the acceptance is deemed to be tacitly and definitively pronounced without reservation.

11. Intellectual Property and Assignment of Rights

11.1. The transfer of proprietary rights to exploit specific developments created on behalf of the Client only takes place after full payment of the price agreed upon in the contract.

11.2. Geekworkers Sàrl remains the exclusive owner of its methodologies, know-how, generic scripts, reusable components, internal frameworks and architectures developed prior to or independently of the Client's order.

11.3. Open source third-party libraries and software (WordPress, Flutter, JavaScript libraries, plugins) remain governed by their respective licenses (GPL, MIT, Apache).

11.4. Commercial Mention & References: Unless an express confidentiality clause is agreed in writing, Geekworkers Sàrl reserves the right to mention the project among its professional references, to display visual captures of the project on its Site and to include a discreet mention with a link to its site at the bottom of the page of the site designed ("Geekworkers Project" or equivalent).

12. Contractual Guarantee and Limitation of Liability

12.1. Warranty of proper functioning: Geekworkers Sàrl grants the Client a thirty (30) calendar day warranty of proper functioning from the date of final acceptance. During this period, any critical or major technical anomaly not detected during acceptance and attributable to the intervention of Geekworkers Sàrl will be corrected at no additional cost.

12.2. Warranty Exclusions: The warranty does not apply to malfunctions resulting from:

  • A modification of the source code, configurations or administration of the site carried out by the Client or a third party without written authorization from Geekworkers Sàrl; ;
  • From an update of modules, themes, browsers or operating systems after delivery; ;
  • From a failure of the third-party hosting provider not managed by Geekworkers or from a global network incident; ;
  • From an external attack (hacking, injection, distributed denial of service DDoS) occurring after delivery.

12.3. Limitation of liability: To the fullest extent permitted by Swiss law (Art. 100 para. 1 CO), the total cumulative liability of Geekworkers Sàrl, regardless of its legal basis, is expressly limited to the amount actually received by Geekworkers Sàrl, excluding VAT, under the relevant contract. Under no circumstances shall Geekworkers Sàrl be liable for indirect damages, operating losses, lost revenue, data loss, or commercial losses.

13. Maintenance, Managed Services and Recurring Services Contracts

13.1. Recurring services (WordPress managed services, preventive maintenance, managed hosting at Infomaniak, continuous management of Google Ads / Meta Ads campaigns) are subscribed for an initial period specified in the contract (generally 12 months), renewable by tacit renewal for identical periods, unless written termination is notified with one (1) month's notice before the expiry date.

13.2. Corrective and security maintenance is carried out within the framework of a duty of care, with Geekworkers Sàrl ensuring the regular application of publisher patches and the monitoring of the infrastructure.

14. Confidentiality and Trade Secrets

Each party undertakes to maintain the strictest confidentiality regarding all information, strategic data, methods, technical documents, or trade secrets disclosed to it by the other party in connection with the performance of this contract. This obligation shall remain in effect for a period of three (3) years after the termination of the contractual relationship.

15. Applicable Law and Jurisdiction

15.1. These General Terms and Conditions, as well as all contractual relations between Geekworkers Sàrl and the Client, are exclusively governed by Swiss material law, excluding conflict of laws rules and the Vienna Convention on Contracts for the International Sale of Goods (CISG).

15.2. Exclusive use: In the event of a dispute concerning the validity, interpretation, performance, or non-performance of these terms and conditions, the parties shall endeavor to reach an amicable settlement. If no agreement is reached within thirty (30) days, exclusive jurisdiction shall be granted to competent courts of the district of Lausanne (Canton of Vaud, Switzerland), subject to appeal to the Federal Court.
